Terms of service

Effective [Effective date]

Draft. Not yet complete: OPERATOR_NAME, OPERATOR_ADDRESS, OPERATOR_EMAIL, OPERATOR_GRIEVANCE, OPERATOR_JURISDICTION, LEGAL_EFFECTIVE_DATE are still to be set by the operator. This text has not yet been reviewed by the operator’s lawyer, and no hotel other than the operator’s own should rely on it until it has.

These terms are between [Operator’s legal name] (“we”, “the operator”) and the hotel, resort or other business that creates an account on this site (“the hotel”, “you”). By creating a property or signing in to one you agree to them on the hotel’s behalf, and you confirm you are entitled to.

1. What the service is

Ativya is hotel operations software delivered over the web: reservations, front desk, folios and cashiering, housekeeping, restaurant point of sale, stores and purchasing, events, the city ledger, payroll and the books, with optional online booking, online payment, WhatsApp messaging and AI assistance. We host it, keep it running and improve it. You run your hotel on it.

2. Your account and your people

  • The first account on a property is its administrator. Administrators invite staff, decide what each role may do, and are responsible for who has access.
  • Each person signs in as themselves. Shared accounts defeat the record of who did what, which the hotel relies on and we cannot reconstruct.
  • You are responsible for keeping sign-in details confidential and for everything done under your accounts until you tell us otherwise.
  • You must give us accurate details for the property, including its tax registration, because they are printed on documents the law requires to be correct.

3. Your data

  • Everything you put into the system — guests, bookings, bills, staff, books — is yours. We process it only to provide the service, as described in the Privacy Policy and the Data Processing Agreement.
  • You can export all of it at any time, as a zip of spreadsheets, from Settings. You do not need to ask us.
  • We keep backups so that a failure on our side does not lose your records. Backups are for recovery, not a separate copy you can request by table.
  • When your account closes we delete your data thirty days after the closing date, unless the law requires us to keep a record longer. Take an export first.

4. Acceptable use

You will not use the service to break the law, to store data you have no right to hold, to probe or disrupt the service or another hotel’s use of it, or to resell it. We may suspend an account that is doing any of these, and will tell you why.

5. Fees

  • A new property starts on a free trial. Its length and what follows are shown on the Billing screen before anything is charged.
  • Subscription fees are charged in advance for each period, in Indian rupees, plus GST where it applies. Prices may change with at least thirty days’ notice; a change never applies to a period already paid for.
  • An unpaid subscription puts the property into read-only after a grace period shown on the Billing screen. Nothing is deleted while it is read-only; paying restores it.
  • Payment services (online guest payments, subscription payments) are provided by Razorpay under its own terms. Card details never reach us.

6. Availability and support

  • We aim to keep the service available at all times and tell you about planned maintenance in advance. We do not promise uninterrupted availability, and this is not a service-level agreement unless one is signed separately.
  • Support is by email at the address below. We answer in working hours, in the order received, and treat a hotel that cannot take bookings as the most urgent kind of problem.

7. Third-party services you connect

WhatsApp messaging, AI assistance and online payment each need an account with another company (Meta, the AI provider you choose, Razorpay) and are governed by that company’s terms and pricing. You connect them with your own credentials; they bill you directly; we are not responsible for their availability or their decisions.

8. What we are responsible for, and what we are not

  • We provide the service with reasonable skill and care. The software is provided as is; we do not warrant it is free of errors.
  • You are responsible for the hotel’s own compliance — tax rates and filings, the Foreigners’ Registration (Form C), licences, employment law — and for checking figures the system produces before relying on them. The software helps you do these things; it does not do them for you.
  • To the extent the law allows, our total liability to you for any claim in a year is limited to the fees you paid us in that year, and we are not liable for indirect or consequential loss, including lost revenue.
  • Nothing here limits liability that cannot be limited by law.

9. Ending the agreement

  • You may close the property’s account at any time from Settings. Fees already paid are not refunded for the remainder of the period.
  • We may end the agreement with thirty days’ notice, or at once if you are in serious breach of these terms. In either case you keep the right to export your data for the thirty days after.

10. Changes to these terms

We may change these terms. We will show the change on the site and, for anything material, email the property’s administrators at least thirty days before it takes effect.

11. Law and disputes

These terms are governed by the laws of India. The courts at [City], India have exclusive jurisdiction, after both of us have tried in good faith to resolve the dispute by talking.
